Why do you operate from Panama?

Regulatory clarity, not tax. The U.S. CLARITY Act (FIT21) — which would clarify SEC vs. CFTC jurisdiction over digital assets — has not yet been enacted. Until it is, we operate the DeFi pillar from Panama under Regulation S. Full framing on the Disclosures page.

Can U.S. persons participate?

Not today. All current offerings are made under Regulation S — offshore offers to non-U.S. Persons only. If and when the CLARITY Act passes and a U.S. onshore channel opens, we intend to offer Rule 506(c) of Regulation D to verified U.S. Accredited Investors. We do not commit to a specific timeline.

Expected yields are tranche-dependent: senior ~4%, mezzanine ~6%, junior residual (variable, captures the discount-recovery upside). Actual returns depend on prepayment speed, default rate, and the specific pool. The TMB product page walks through the base / bull / bear cases.

What is a Tokenized Mortgage Bond?

A TMB is a tokenized claim on the cash flow of a mortgage-backed-securities pool that we buy at 90c on the dollar from an originator. The pool is wrapped on-chain and tranched into senior, mezzanine, and junior ERC-20 tokens via a true sequential waterfall. See /products/tmb.

Who can buy TMB tranches?

Today, non-U.S. professional or accredited investors only, under Regulation S. We use geolocation and accreditation attestation to enforce this. A U.S. Reg D 506(c) channel opens post-CLARITY-Act.

What is the difference between senior, mezzanine, and junior tranches?

Accepted Answer

Senior gets paid first up to its accrued coupon (~4% expected). Mezzanine gets the next slice (~6% expected). Junior absorbs whatever is left — most of the discount-recovery upside (and the first-loss risk). It is a strict sequential waterfall: senior, then mezz, then junior.

What happens if mortgages in the pool default?

Losses absorb in reverse order: junior first, then mezzanine, then senior. Junior takes the first hit precisely because it gets the upside. The TMB contract suite (1,001 tests passing) makes this deterministic on-chain.

What is §6418 transferability?

Accepted Answer

§6418 of the Internal Revenue Code lets eligible taxpayers transfer certain IRA tax credits to unrelated buyers for cash — one-time, with a pre-filing IRS portal registration. Before §6418, those credits were trapped on the originator's return. See /products/6418-transferability.

Do I need a wallet to use the OTC Desk?

No. The Tax Credit OTC Desk is bilateral and wire-settled. No tokenization, no wallet, no marketplace exposure. Every IRA tax-credit trade we have closed to date has happened this way. See /products/tax-credit-otc-desk.

How long does an OTC tax-credit trade take to close?

Typically 2–4 weeks from indication of interest to close, depending on counterparty diligence. Steps: IOI, counterparty match, term sheet, buyer diligence, wire settlement, IRS portal filing. We submit the §6418 transfer-election forms on both parties' behalf.

Will you handle the IRS portal filing?

Yes. The §6418 transfer-election filing and the §6417 direct-pay election (for tax-exempt entities) are handled by our team as part of the trade workflow. Buyers and sellers sign off on the metadata; we submit through the IRS Energy Credits Online portal.

How does the accreditation verification process work?

Submit the OTC intake form. You will self-certify as a non-U.S. professional or accredited investor under Regulation S; we may request supporting documentation (broker-dealer letter, attestation from your accountant or attorney, regulator-issued classification). Verification is required before any gated material is released.
